TERMS & CONDITIONS OF USE OF THE DIAGNOSTICA STAGO S.A.S EXTRANET SITE.

Please read these Terms & Conditions of Use carefully before consulting the DIAGNOSTICA STAGO S.A.S EXTRANET SITE.

DIAGNOSTICA STAGO S.A.S. manages and controls this Extranet Site from its registered office at 3, Allée Thérésa, 92600 Asnières sur Seine (France).

ARTICLE 1: DEFINITIONS
 

"STAGO": DIAGNOSTICA STAGO S.A.S., a French simplified joint stock company [société par actions simplifiée] with its registered office at 3, Allée Thérésa, 92600 Asnières sur Seine - France.

"USER": STAGO brand customer or supplier.

“Employee of the USER” or "Employee" means an employee of the USER, a natural person, with a user name and password.

"SERVICE": the service made available to the USERS by STAGO via hypertext links inserted on the website www.stago.fr. The purpose of this hypertext link is to provide online access to each USER identified by a user name and password to a set of personalised information for each USER and information relating to STAGO and the field of in vitro diagnostics dedicated to the field of hemostasis and thrombosis.

"EXTRANET SITE": Closed computer network using the Internet on which STAGO makes the SERVICE available to USERS.

ARTICLE 2: PURPOSE
 

The purpose of these terms & conditions is to define first, the conditions for access to STAGO's EXTRANET SITE and, secondly, the terms and conditions of use of the SERVICE.

Any connection to STAGO's EXTRANET SITE is subject to compliance by the USER with these terms & conditions of use which STAGO reserves the right to amend or update at any time.

The EXTRANET SITE was conceived to provide general information about STAGO. The information provided is for information purposes only and does not impose any commitment on STAGO.

ACCESS TO AND USE OF THE EXTRANET SITE ENTAILS YOUR ACCEPTANCE OF THESE TERMS & CONDITIONS OF USE. IF YOU DO NOT AGREE WITH THE CLAUSES SET FORTH ABOVE, YOU ARE ADVISED NOT TO USE THIS SITE.

ARTICLE 3: ACCESS TO THE EXTRANET SITE - CODES
 

STAGO grants each USER, who accepts, the right to connect one or more workstations to the EXTRANET SITE. Access to the EXTRANET SITE is made from the website www.stago.fr which is managed and controlled in France by STAGO. The communication protocols used are those used on the Internet.
The rights to access and use the EXTRANET SITE are non-exclusive and non-transferable.

Access to the EXTRANET SITE is only possible by means of a user name and password.

Each USER has one user name and password giving access to the SERVICE and enabling the USER to create a user name and password for each of its Employees.

The user name and the password allow access to different levels of SERVICE information allocated by the USER to its Employees at its sole discretion and under its sole responsibility.

User names and passwords are confidential. It is the responsibility of the USER and its Employees to keep them secret and not to disclose them to anyone. The USER is fully responsible for the keeping and use of its user name and password and, where applicable, the consequences of their disclosure to or use by Employees and third parties.

It the user name and password of each USER is lost, a new request for access codes is made by each USER directly on the connection page of the EXTRANET site. The new user name and password is sent automatically by e-mail to each USER.

Access to the service is possible 24/7 except in case of force majeure or an event outside STAGO's control and subject to any breakdowns and maintenance works necessary for the proper functioning of the service and equipment.

STAGO reserves the right to withdraw access to its EXTRANET SITE to a USER in the event that the USER fails to comply with all these terms & conditions.

 
ARTICLE 4: SERVICE PRICING
 

Access to the STAGO Extranet site is free of charge, excluding the cost of connections which remain the responsibility of the USER.
STAGO reserves the right to subsequently invoice access to the SERVICE. To this end, any price change shall give rise to prior notification of the USER at least three (3) months before the scheduled date of the change in pricing. Each USER must confirm in writing its acceptance of the new pricing conditions no later than one month after STAGO has provided it with prior information. Failing confirmation given by the deadline, STAGO reserves the right to refuse access to the USER of the EXTRANET SITE.

ARTICLE 5: INTELLECTUAL PROPERTY RIGHTS
 

The content of the EXTRANET SITE (in particular data, information, illustrations, logos, trademarks, etc.) with the exception of information specific to each USER is protected under copyright and other intellectual property rights.

Any copy, reproduction or distribution, in whole or in part, of the content of the EXTRANET SITE with the exception of information specific to the USER, by any process whatsoever, is prohibited, with the exception of a single copy on a single computer and reserved for the exclusive private use of the person making the copy. Any other reproduction must be expressly authorised in advance in writing by STAGO.

It is up to the USER of this EXTRANET SITE to take all appropriate measures to protect its own data and/or software from contamination by any viruses circulating on the Internet.

Information other than the information specific to each USER and the images contained in the EXTRANET SITE are protected by the provisions of the French Intellectual Property Code relating to copyright. Logos are trademarks registered by STAGO and are also protected by the provisions of the Intellectual Property Code.

ARTICLE 6: USE OF DOCUMENTS
 

None of the documents from the EXTRANET SITE except for information specific to each USER may be copied, reproduced, published, downloaded, posted, sent or distributed in any way, except under the following conditions:
You can download a copy of the documents on a PC for your personal and non-commercial use, provided that you respect the copyright as provided by the Intellectual Property Code. The amendment of these documents with the exception of those containing information specific to each USER or their use for another purpose constitutes an infringement of the associated copyright. If you use the EXTRANET SITE, you may not use these documents except those containing information specific to each USER on another website, Intranet or Extranet or in any networked computer environment.

Documents containing information specific to each USER shall remain the property of each USER.

If you decide to download documents from this EXTRANET SITE, STAGO grants you, on a non-exclusive basis, a right to use the Software (including the files, images included therein, as well as the accompanying data). STAGO does not assign to you any ownership interest in the Software and its accompanying component parts. You own the media on which the Software is registered, but STAGO retains full and total ownership of the Software and the associated intellectual property rights. You may not redistribute, sell, decompile, reverse-engineer, disassemble or reduce the Software in any manner in a usable form.

ARTICLE 7: E-MAILS
 

In order to correspond with STAGO by e-mail, USERS must complete the electronic correspondence forms available on the EXTRANET SITE. STAGO's responses to emails cannot be considered as or constitute proof of the exercise of advertising, promotional or commercial activity in the territory of the country of destination of the responses.

Each USER is responsible for the content of emails it issues on the EXTRANET SITE. STAGO cannot be held liable for the content of communications issued by or intended for each USER.

ARTICLE 8: LIMITATION OF LIABILITY
 

The documents and information posted on the EXTRANET SITE are provided "as is" without any express or implied warranty of any kind and shall not give rise to any right to compensation.
STAGO reserves the right to amend or correct the content of the EXTRANET SITE at any time, without prior notice.

The data made available to the USERS is not in real time. As the data is updated, a period of twenty-four (24) hours is required for the processing and incorporation of new data on the EXTRANET SITE.

The items presented on the EXTRANET SITE are subject to change or deletion without prior notice.

STAGO cannot be held liable in the event of contamination of USERS’ computer equipment resulting from the spread of a virus or other computer infections.

Except in the event of gross negligence or wilful misconduct, under no circumstances will STAGO, its employees, suppliers, or third parties referred to on EXTRANET SITE shall liable with regard to any action for contractual liability, tort or any other action, for any direct or indirect damage, incident or accessory, or of any nature whatsoever or for any damage, in particular, of a financial or commercial nature, resulting from the use of the EXTRANET SITE or any information obtained on the EXTRANET SITE.

STAGO declines all liability for the information, materials and software of on websites linked by hypertext to the EXTRANET SITE.

ARTICLE 9: CONFIDENTIALITY AND SECURITY OF DATA PROCESSING
 

9.1. All electronic data contained on the EXTRANET SITE remain the property of STAGO.

Each USER undertakes to keep all the electronic data which may relate to the SERVICE strictly confidential and guarantees compliance by its Employees with this same obligation.

9.2. Protection of personal data

User Information

The company Diagnostica Stago S.A.S (hereinafter "STAGO") processes personal data concerning you (name, first name, name of employer, business email address and connection data) to provide you with the information associated with STAGO systems.

As such, STAGO is responsible for the processing of your data for the purposes of its legitimate interest in ensuring that solely legitimate persons have access to the information and documents of STAGO systems.

The recipients of the personal data are the administrators (those of STAGO, that of your employer), the staff of the subcontractors who carry out the maintenance, hosting of the website and sending of emails. The data is stored for the duration of the processing. Processing is considered completed when a user is no longer employed by STAGO's customer or your employer's agreement with STAGO is terminated.

By contacting STAGO's DPO: dpo@stago.com, you may request access to, rectification or erasure of your personal data, or restriction of processing, as well as the right to object to such processing.

The provision of your personal data has no regulatory or contractual nature and the conclusion of an agreement is not conditional on said data.

This data processing does not include an individual decision based exclusively on automated processing.

If you consider, after contacting the DPO, that your rights are not respected, you can send a complaint to the Commission Nationale de l'Informatique et des Libertés (CNIL).

9.3. Protection of personal data specific to the "Qualiris" platform

“The company Diagnostica Stago SAS (hereinafter "STAGO") processes personal data concerning you (Last name, First name, Civility, Name of the employer, professional e-mail address, telephone number and connection data) to implement the Qualiris service taken out by the organization that employs you. The purpose of this processing is a statistical analysis for inter-laboratory comparison.

As such, STAGO is responsible for processing your data for the purposes of its legitimate interest in honoring the contract entered into by the organization that employs you and in complying with the traceability requirements of the inter-laboratory comparison accreditation standard.

The recipients of the personal data are the administrators (management of the services of STAGO, management of your employer)and the staff of the data processors.

Your account data is retained until your account is deleted by your organization's administrator. The data entered as part of a comparison campaign is kept for 5 years.

You can request, by contacting the DPO of STAGO: dpo@stago.com, access to your personal data, the rectification or erasure of these, or a limitation of processing, as well as the right to object to this processing.

The provision of your personal data has no regulatory or contractual nature and does not condition the conclusion of a contract.

This data processing does not include an individual decision based exclusively on automated processing.

ARTICLE 11: JURISDICTION AND APPLICABLE LAW

ANY DISPUTE RELATING TO THE EXISTING TERMS & CONDITIONS OF USE, SHALL BE BROUGHT BEFORE THE COURTS OF STAGO'S REGISTERED OFFICE AND SHALL BE GOVERNED BY FRENCH LAW REGARDLESS OF THE RULES ON CONFLICT OF LAWS. THE USE OF THE EXTRANET SITE ENTAILS YOUR EXPRESS AGREEMENT TO THE APPLICATION OF THIS JURISDICTION CLAUSE.

In the event that any provision of these Terms & Conditions of Use is held to be illegal, invalid or unenforceable for any reason whatsoever, it shall be deemed not to form part of these Terms & Conditions of Use and shall not affect the validity or application of the remaining provisions.
